Program Description
This session documents, presents, and critiques the audited (by GAO) balance sheets, income statements, cash flow statements, footnotes, and ancillary reporting of the published (by Treasury & OMB) financial statements reporting the insolvent financial condition of the United States of America for the last ten fiscal years. Drill-down analysis will disclose and analyze the revenue (taxation), expenditures, and related categories required to discern the financial performance of our federal decision makers. The analysis comprises traditional and contemporary analytical methods that attendees will recognize as similar to their own analysis of client public/private financial statements.

October 21, 2024: Business Valuation and M&A
Program Description
Business valuators are getting involved in more and more transactions; either for planning, fairness opinions, portions of due diligence, or actual brokerage and banking. This course will examine the differences between doing business valuations (calculations and conclusions) for exit planning and related M&A purposes vs. other business valuations. It will review how brokers and bankers price transactions and how business valuators can use many of these techniques. We will look at how asset and stock deal structures are set up and impact value, along with common solutions to typical transaction and valuation problems. We will review typical SBA 7(a) loan requirements (by far the most used program), along with how middle market transactions are often financed, directly impacting value. It will also examine how NACVA and related Standards interplay with them, and can reduce your potential liability and improve your results.

- Select an asset or stock sale transaction structure based on taxes, risk, and closing considerations
- Apply market approach techniques to obtain credible valuation results for exit planning and brokerage services
- Produce a quick analysis of a business's suitability for qualifying for an SBA loan
- Apply the NACVA Standards that impact the intersection of business brokerage and business valuation
